Service Description ### 2.1 Core Services Monetoli provides a financial management platform that enables users to: - Upload and process bank statements in various formats (including PDF) - Automatically extract transaction data from uploaded statements - Categorize and analyze spending patterns - Track financial transactions across multiple currencies - Generate reports and insights about spending habits - Access additional features as we may introduce from time to time ### 2.2 Service Evolution We continuously improve and expand our Service. We reserve the right to add, modify, or remove features, change technologies or service providers, introduce new subscription tiers, or update the user interface. We will provide reasonable notice of material changes that significantly affect your use of the Service. ### 2.3 AI and Automated Processing Our Service utilizes artificial intelligence (AI) and machine learning technologies to extract text and data from uploaded documents, categorize transactions automatically, enhance transaction descriptions, and provide spending insights. The specific AI technologies and providers we use may change over time. By using the Service, you acknowledge and consent to this automated processing of your data as further described in our Privacy Policy. --- ## 3. User Accounts and Registration ### 3.1 Account Creation To use the Service, you must create an account by providing accurate, current, and complete information. You may register using email and password or supported third-party authentication providers. ### 3.2 Account Responsibilities You are responsible for maintaining the confidentiality of your account credentials, all activities that occur under your account, notifying us immediately of any unauthorized access at support@monetoli.com, and ensuring that your account information remains accurate and up-to-date. ### 3.3 Account Restrictions You must be at least 18 years old or the age of majority in your jurisdiction, have the legal capacity to enter into binding agreements, not create multiple accounts for fraudulent purposes, and not share your account credentials with third parties. We reserve the right to suspend or terminate accounts that violate these Terms. --- ## 4. Subscription and Billing ### 4.1 Subscription Plans We offer various subscription plans, which may include free trial periods with limited features, paid subscription tiers with different feature sets and usage limits, and premium plans with enhanced features. The specific features, limitations, and pricing of each plan are described on our website and may change over time with appropriate notice. **Free Trial:** New accounts receive a **14-day free trial** automatically upon registration. No credit card or payment method is required to start a trial. At the end of the trial period, your account will revert to a read-only state and you will need to subscribe to a paid plan to continue using the Service. **You will not be charged automatically at the end of the trial period.** Upgrading to a paid plan is always an explicit action you initiate. ### 4.2 Billing and Payment Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). Billing is processed by **LemonSqueezy LLC ("Lemon Squeezy")**, our Merchant of Record, who handles all payment transactions on our behalf. You authorize us (through Lemon Squeezy) to charge your designated payment method for all applicable fees. Fees are non-refundable except as described in our [Refund Policy](https://monetoli.com/refund) and as required by applicable law, including the EU Consumer Rights Directive. ### 4.3 LemonSqueezy as Merchant of Record All subscription payments are processed by **LemonSqueezy LLC** (Lemon Squeezy), which acts as the Merchant of Record for all transactions. This means: - Your billing relationship for payment purposes is with Lemon Squeezy - Lemon Squeezy handles payment processing, invoicing, and applicable tax collection - By subscribing, you agree to Lemon Squeezy's [Terms of Service](https://www.lemonsqueezy.com/terms) and [Privacy Policy](https://www.lemonsqueezy.com/privacy) - For billing disputes or payment-related queries, contact Lemon Squeezy through their support portal - For questions about your Monetoli subscription (features, access, cancellation), contact us at support@monetoli.com ### 4.4 Usage Limits Certain subscription plans may include usage limits such as maximum pages processed per billing period, maximum bank statements uploaded, and storage limits for uploaded documents. Exceeding these limits may result in service restrictions or additional charges, as specified in your subscription plan. ### 4.5 Price Changes We reserve the right to modify subscription prices. We will provide at least 30 days' notice before any price increase takes effect. Continued use of the Service after the price change constitutes acceptance of the new pricing. ### 4.6 Cancellation You may cancel your subscription at any time through your account settings or by contacting us at support@monetoli.com. Upon cancellation: - You will retain access to paid features until the end of your current billing period - No further charges will be made after the current billing period ends - Your account will revert to a free tier (if available) or be deactivated - We may retain your data as described in our Privacy Policy ### 4.7 14-Day Money-Back Guarantee We offer a **14-day money-back guarantee** on all new subscriptions and on each renewal. If you are not satisfied for any reason, contact us at support@monetoli.com within 14 days of your billing date and we will issue a full refund — no questions asked. EU consumers: this guarantee meets or exceeds your statutory 14-day right of withdrawal under Directive 2011/83/EU. Intellectual Property ### 6.1 Our Intellectual Property The Service, including its original content, features, functionality, design, and underlying technology, is owned by Monetoli and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. ### 6.2 Limited License We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes, subject to these Terms. ### 6.3 Your Content You retain ownership of any content you upload to the Service. By uploading content, you grant us a limited license to process, store, and analyze the content to provide the Service; use anonymized and aggregated data to improve our Service; and create backups for data protection purposes. This license terminates when you delete your content or account, subject to our data retention policies. ### 6.4 Feedback If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation. --- ## 7. Service Availability and Modifications ### 8.1 Availability We strive to maintain high availability of the Service but do not guarantee uninterrupted access. For paid subscribers, we will provide at least 30 days' notice before discontinuing the Service, and a pro-rata refund will be issued for any unused prepaid subscription period. ### 8.3 No Warranty THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF EXTRACTED DATA. We do not warrant that the Service will meet your specific requirements, will be error-free or uninterrupted, that extracted data will be 100% accurate, or that defects will be corrected. **Consumer rights:** Nothing in this section limits any statutory rights you may have as a consumer under applicable law. --- ## 9. Limitation of Liability ### 9.1 Exclusion of Damages TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MONETOLI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES; LOSS OF DATA OR DATA CORRUPTION; LOSS OF GOODWILL; OR FINANCIAL DECISIONS MADE BASED ON SERVICE OUTPUT. ### 9.2 Liability Cap OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. ### 9.3 Jurisdictional Limitations Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, these exclusions and limitations shall apply to the fullest extent permitted by applicable law. In particular, nothing in this Section limits liability for death or personal injury caused by negligence, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law. --- ## 10. Indemnification You agree to indemnify, defend, and hold harmless Monetoli, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of any rights of a third party, or content you upload to the Service. --- ## 11. Termination ### 11.1 Termination by You You may terminate your account at any time by using the account deletion feature in your account settings or by contacting us at support@monetoli.com. ### 11.2 Termination by Us We may suspend or terminate your account immediately, without prior notice, if you breach these Terms, fail to pay applicable fees, your use poses a security risk to the Service or other users, we are required to do so by law, or we discontinue the Service. ### 11.3 Effect of Termination Upon termination, your right to use the Service ceases immediately. We may delete your account and associated data, subject to our data retention policies and legal obligations. Provisions that by their nature should survive termination shall survive, including Sections 6, 9, 10, 12, and 13. --- ## 12. Governing Law and Dispute Resolution ### 12.1 Governing Law These Terms shall be governed by and construed in accordance with the laws of the Republic of Moldova, without regard to its conflict of law provisions. **Notwithstanding the above, consumers in the European Union retain all rights granted by the mandatory consumer protection laws of their country of residence.** Where EU mandatory law provides greater protection than these Terms, EU law shall prevail. ### 12.2 Dispute Resolution for Business Users Any dispute, controversy, or claim arising out of or relating to these Terms between Monetoli and non-consumer users shall first be settled by good-faith negotiation. If unresolved, it may be submitted to binding arbitration in accordance with the rules of the Moldova Chamber of Commerce and Industry, conducted in English or Romanian in Chisinau, Republic of Moldova (or via remote proceedings). ### 12.3 Consumer Dispute Resolution **EU consumers:** Nothing in these Terms prevents you from bringing a dispute before the courts of your country of residence or using any available EU alternative dispute resolution (ADR) or online dispute resolution (ODR) platform. Mandatory arbitration clauses in consumer contracts are not enforceable under EU law (Directive 93/13/EEC), and this Section does not override those protections. ### 12.4 Exceptions Either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm. --- ## 13. General Provisions ### 13.1 Entire Agreement These Terms, together with the Privacy Policy and the Refund Policy, constitute the entire agreement between you and Monetoli regarding the Service. ### 13.2 Severability If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. ### 13.3 Waiver Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. ### 13.4 Assignment You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction. ### 13.5 Force Majeure We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, government actions, or infrastructure failures. ### 13.6 Notices We may provide notices to you via email or in-app notifications.
